Contributor Agreement for Vehicle Service Pros
Contributor License Agreement
This Agreement is between Endeavor Business Media, LLC. ("EBM") with a business billing address 30 Burton Hills Blvd Ste 185 , Nashville, TN 37215 USA Adam Faulkner ("Contributor") and is entered into on August 01, 2025.
Contributor has submitted, or has agreed to submit, to EBM an original Column ("Work") for consideration and possible publication by EBM. Contributor and EBM desire to enter into this Agreement in order to grant EBM the right to use the Work in the manner contemplated by this Agreement.
I. Creation of the Work
(a) Contributorhas created a work on the subject described above for publication in the Publication set forth above. If requested by the editor, Contributor shall submit a draft of the Work. Contributor shall submit the final version on or before set forth above. Both the draft (when applicable) and the final version of the Work shall be delivered to EBM via email in Word document format to the email address for Publisher identified below. Contributor may not subcontract or delegate the creation of all or part of the Work without the prior written permission of EBM.
(b) Work shall be considered all information, including, without limitation full; text content, graphs, charts, tables, formulaic presentations, sidebars, maps and all other descriptive material as the case may be, and all updates, replacements, supplements and revisions thereof, that is supplied to the Publication.
II. Ownership of Work
Contributor is the owner of all right, title and interest in the Work except for those rights granted to EBM in Section III below. All rights with respect to the Work which are not expressly granted to EBM are reserved to Contributor.
III. Grant of Rights
In consideration of EBM's acceptance of and other good and valuable consideration for the Work for publication, Contributor hereby grants to EBM the following rights:
The exclusive right to the first publication of the Work;
The exclusive right, for 365 days following the first publication (the Exclusive Publication Period), to publish the Work (and extracts, excerpts or summaries, thereof) in the Publication, in any media currently in existence or hereafter known, including but not limited to publication in any print media, website or other internet media or in any CD-ROM or other electronic or digital media format (provided, that in the case where the Work was previously published, Contributor stipulates that the Work will not be published anywhere else during the Exclusive Publication Period without written permission) (and further, without limiting the foregoing, Contributor shall retain the right to publish the contributed Work following the expiration of the Exclusive Publication Period);
The perpetual, non-exclusive right, after the Exclusive Publication Period (if any), to publish the Work (and extracts, excerpts or summaries, thereof) in the Publication in any media currently in existence or hereafter known, including but not limited to publication in any print media, website or other internet media or in any CD-ROM or other electronic or digital media format ;
The perpetual, non-exclusive right, after the Exclusive Publication Period, to license the Work to a third party without further remuneration to Contributor to be republished in its entirety (without alterations, modifications to the full text) in any media currently in existence or hereafter known, including but not limited to, other print media, website or other internet media, CD-ROM or other electronic or digital media (provided, that Contributor credit and full attribution is maintained throughout);
The perpetual right to reprint the Work as part of a reprinting of the Publication (or extracts or excerpts of the Publication) in any media currently in existence or hereafter known or as part of reprint service offered by the Publication;
Contributor shall retain the right to publish the contributed Work during the non-exclusive period;
The right to advertise the Work (in whatever method EBM, in its sole discretion, deems appropriate) by using references to and excerpts from the Work;
The right to refer to the Contributor in connection with the authorized uses of the Work or advertising therefore and the right to use Contributor's name, photograph and/or likeness in connection with the publication or advertising of the Work.
IV. Editorial Control
Contributor acknowledges that the Work may be adapted, modified or altered by EBM to the extent necessary for purposes of developing the Work for publication.
V. Consideration
In return for the foregoing, EBM will consider using the Work and, if used, to attribute authorship of the Work to the Contributor (or, upon mutual agreement, to an individual writer associated with Contributor). Except as may be specifically and expressly agreed by Contributor and an authorized representative of EBM in writing with respect to specifically identified Works, Contributor will receive no financial compensation or reimbursement of any kind for any of the Works or their use by EBM. Contributor acknowledges that the publication of the Work as contemplated above provides the consideration for entering into this Agreement.
In the event any compensation is agreed upon by EBM in writing, Contributor shall invoice EBM and the same shall be payable thirty (30) days following EBM’s receipt of an undisputed invoice, provided that in no event will any invoice be paid more than thirty (30) days prior to the Work’s scheduled Publication Date (as defined herein). For the purposes of this Agreement, “Publication Date” means (i) the date a print publication is mailed, (ii) the first date a Work is published on one or more websites owned by EBM, or (iii) the first date a Work is delivered under a customer agreement.
Contributor will not be entitled to any fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit of Publisher. The Contributor assumes full and sole responsibility for and promises to hold Publisher harmless from any and all liability with respect to the payment of all state and federal income tax withholding, unemployment insurance, social security withholding, disability insurance, Worker's compensation, and all other applicable withholding for Contributor. For the avoidance of doubt, if Contributor receives any payment from Publisher for the Work, Contributor will provide Publisher with a W-9 form and Publisher will provide the Contributor with a 1099 form for the appropriate calendar year. Contributor shall be responsible for payment of all applicable taxes.
VI. Warranty and Indemnification
Contributor represents and warrants that the Work is an original of authorship and that no permission is necessary from any third party for EBM to publish the Work as contemplated herein or, if such permission is necessary or advisable, Contributor has secured such permission in writing. Contributor represents and warrants that the Work contains no matter which, if published, will be libelous. Contributor shall indemnify EBM and hold EBM harmless from all damages, costs and expenses including attorneys' fees, as well as any claim, suit, loss or damage as a result of a breach of the above warranties and representations.
VII. Miscellaneous
Contributor states that such Contributor has full right to enter into this Agreement and to grant the rights herein. This Agreement constitutes the entire understanding between the parties with respect to this subject matter and supersedes all previous negotiations and/or agreements between the parties. EBM shall have the right to assign this Agreement and all rights herein to any subsidiary, affiliate or controlling entity or to any person or entity owning or acquiring all or a substantial part of the stock or assets of EBM. Each party agrees that the electronic signatures, whether digital or encrypted, of the parties included in this Agreement are intended to authenticate this writing and to have the same force and effect as manual signatures.
Contributor's signature indicates his/her understanding of the entire Agreement and specifically the Ownership and Grant of Rights defined in Sections' II and III.
